{"id":119368,"date":"2022-12-30T12:02:11","date_gmt":"2022-12-30T11:02:11","guid":{"rendered":"https:\/\/newsroom.ferrovial.com\/?post_type=press_release&#038;p=119368"},"modified":"2024-12-17T18:15:09","modified_gmt":"2024-12-17T17:15:09","slug":"ferrovial-completes-sale-amey","status":"publish","type":"press_release","link":"https:\/\/newsroom.ferrovial.com\/en\/press-releases\/ferrovial-completes-sale-amey\/","title":{"rendered":"Ferrovial completes sale of Amey to a company controlled by One Equity Partners and Buckthorn Partners for \u00a3400 million"},"content":{"rendered":"    <section class=\"wysiwyg text-editor \" id=\"\">\n        <div class=\"container container--narrow container--p-10\">\n            <p>Ferrovial has completed the <strong>sale of 100% of Amey Group<\/strong> to a UK company controlled by funds managed by One Equity Partners, in partnership with Buckthorn Partners.\u00a0 The transaction represents an <strong>enterprise value of \u00a3400 million<\/strong> (\u20ac455 million) and equity value of approximately \u00a3264.6 million (\u20ac301.3 million). The price is subject to the customary closing adjustments.<\/p>\n<p>The consideration was paid partly in cash in a net <strong>amount of approximately \u00a3112.8 million<\/strong> (\u20ac128.5 million) and the remaining portion will be paid through a vendor loan note of approximately \u00a3151.8 million (\u20ac172.8 million), issued at completion and repayable over five years at 6% annual interest (increasing to 8% after the third year). Ferrovial <strong>expects a capital gain of \u20ac55 million<\/strong> after charging reserves for translation differences and interest rate hedges to profit and loss.<\/p>\n<p>As previously announced, <strong>following completion of the deal within the established deadlines<\/strong>, Ferrovial retains the waste treatment business, which is to be integrated into its Energy Infrastructure and Mobility division.\u00a0 The waste treatment <strong>business employs a total of 557 people<\/strong> and manages around one million tons of waste per year.<\/p>\n<p><strong>Horizon 24 Plan<\/strong><\/p>\n<p>This deal substantially concludes the divestment of the former Services division, which resulted from an <strong>overall strategic review of all business divisions<\/strong>, aimed at focusing Ferrovial&#8217;s future on the development of infrastructure, the prime source of value and returns for its shareholders. As a result, it classified all its Services operations as \u201cavailable for sale\u201d.<\/p>\n<p>To that same end, the company <strong>adopted Horizon 24<\/strong>, a strategy for the period 2020-2024 that prioritizes infrastructure development, construction and management in parallel with businesses in the areas of mobility, water and the energy transition. <strong>The plan targets 11% annual EBITDA growth<\/strong> based on the pursuit of excellence, sustainability, innovation, efficiency, and the selection of businesses and markets.<\/p>\n<p>The Amey deal<strong> substantially concludes the divestment of Ferrovial Services<\/strong>, following the sale of the Environmental Services and Infrastructure Services businesses in Spain and Portugal and of Broadspectrum&#8217;s operations in Australia and New Zealand, the municipal cleaning contracts in the UK, and of the Oil &amp; Gas business in North America.<\/p>\n        <\/div>\n
