(FGP Topco), compa\u00f1\u00eda matriz de Heathrow Airport Holdings Ltd., a Ardian y a PIF, y al ejercicio por algunos accionistas de FGP Topco (los Accionistas Acompa\u00f1antes) de su derecho de acompa\u00f1amiento total <em>(full tag-along right)<\/em> equivalente al 35% del capital social de FGP Topco (las Acciones Acompa\u00f1adas).<\/p>\n<p>Las partes han estado trabajando en diferentes opciones para satisfacer la condici\u00f3n de que las Acciones Acompa\u00f1adas sean vendidas junto a la participaci\u00f3n de Ferrovial. En relaci\u00f3n con la b\u00fasqueda de dichas opciones y tras el ejercicio de los derechos de acompa\u00f1amiento, Ardian y PIF han hecho una nueva oferta para adquirir acciones representativas del 37,62% del capital social de FGP Topco por 3.259 M GBP (la Oferta). La Oferta ha sido aceptada por Ferrovial y por ciertos Accionistas Acompa\u00f1antes y, como resultado de ello, se ha alcanzado un acuerdo conforme al cual Ferrovial y varios Accionistas Acompa\u00f1antes vender\u00e1n a prorrata una parte de sus participaciones en FGP Topco, de forma que Ferrovial permanecer\u00e1 como accionista de FGP Topco con acciones representativas del 5,25% del capital social de FGP Topco. Tras la venta, Ferrovial y los Accionistas Acompa\u00f1antes que venden al mismo tiempo que Ferrovial tendr\u00e1n acciones representativas del 10% del capital social de FGP Topco. Ardian y PIF tendr\u00e1n acciones representativas, respectivamente, del 22,6% y del 15% aproximadamente, a trav\u00e9s de veh\u00edculos separados.<\/p>\n<p>La transacci\u00f3n est\u00e1 sujeta al cumplimiento de los derechos de adquisici\u00f3n preferente <em>(right of first offer)<\/em> y de los derechos de acompa\u00f1amiento total <em>(full tag-along rights)<\/em>, que pueden ser ejercitados por los restantes accionistas de FGP Topco al amparo del acuerdo de accionistas y los estatutos sociales de FGP Topco. Tambi\u00e9n est\u00e1 sujeta al cumplimiento de las condiciones regulatorias que sean de aplicaci\u00f3n.
